1. Acceptance of Terms
Welcome to REI.md. These Terms of Service ("Terms") constitute a legally binding agreement between you and REI MD LLC ("REI.md," "we," "us," or "our") governing your access to and use of the REI.md platform, website, and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1.1 Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Service under applicable laws
1.2 Authority
If you are using the Service on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and you agree to these Terms on behalf of that entity.
2. Description of Service
REI.md is a platform that aggregates, structures, and delivers off-market real estate investment opportunities. Our Service includes:
- Automated aggregation of off-market real estate deals
- Deal matching based on your investment criteria and preferences
- Tools for analyzing and evaluating investment opportunities
- Communication features to facilitate deal inquiries
- Platform for submitting deals and connecting with other investors
2.1 Platform Role
REI.md is a technology platform, not a real estate broker, agent, or advisor. We provide information and tools to connect buyers and sellers of real estate investment opportunities. We do not:
- Provide real estate brokerage services
- Offer investment, legal, tax, or financial advice
- Guarantee the accuracy or completeness of any deal information
- Guarantee the outcome of any transaction
3. Account Registration
3.1 Account Creation
To access certain features of the Service, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
3.2 Account Restrictions
You may not:
- Create more than one account per person
- Share your account credentials with others
- Transfer or sell your account to another party
- Use another person's account without authorization
4. User Conduct
4.1 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree to conduct all interactions on the platform professionally and in good faith.
4.2 Prohibited Activities
You may not use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Submit false, misleading, or fraudulent information about deals or yourself
- Engage in any form of fraud, including misrepresenting proof of funds or investment capacity
- Circumvent the platform to avoid partnership arrangements
- Harvest, collect, or scrape user data or deal information
- Interfere with or disrupt the Service or servers
- Attempt to gain unauthorized access to any portion of the Service
- Use automated systems or software to extract data from the Service
- Send unsolicited communications or spam to other users
- Impersonate any person or entity
5. User Submissions
5.1 Content You Submit
The Service may allow you to submit deals, property information, documents, communications, and other content ("User Submissions"). You retain ownership of your User Submissions, but by submitting content to the Service, you grant us a license as described below.
5.2 License Grant
By submitting User Submissions, you grant REI.md a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute your User Submissions solely for the purpose of operating and providing the Service, including sharing deal information with potential buyers and partners.
5.3 Representations and Warranties
By submitting content, you represent and warrant that:
- You own or have the necessary rights to submit the content
- The content is accurate and not misleading
- The content does not violate any third-party rights
- You have authorization to share any deal or property information
5.4 Right to Remove
We reserve the right to remove any User Submissions at our sole discretion, without notice, for any reason, including if we believe the content violates these Terms or is otherwise objectionable.
6. Partnership Model
6.1 Success-Based Model
REI.md operates on a success-based partnership model. Unlike traditional subscription platforms, we do not charge monthly fees for access to deal flow. Instead, we partner with our members and share in the success of closed transactions.
6.2 Separate Agreements
The specific terms of any partnership or joint venture arrangement related to individual deals are governed by separate agreements entered into between the parties. These Terms of Service establish your general use of the platform and do not constitute a partnership agreement for any specific transaction.
6.3 Good Faith Dealing
You agree to deal in good faith with REI.md and other platform users regarding any deals sourced through the platform. Circumventing the platform to avoid partnership arrangements after being connected through our Service is a violation of these Terms.
7. Deal Information Disclaimer
7.1 Information Provided 'As-Is'
All deal information, property data, market analytics, and other content provided through the Service is provided "as-is" and "as available." We make no representations or warranties about the accuracy, completeness, reliability, or timeliness of any information.
7.2 No Guarantee
We do not guarantee:
- The accuracy of any deal or property information
- The availability of any deal or property
- The success of any transaction
- Any particular return on investment
- The suitability of any deal for your investment goals
7.3 Due Diligence
You are solely responsible for conducting your own due diligence on any deal or property before making any investment decision. This includes, but is not limited to:
- Verifying property ownership and title
- Conducting inspections and assessments
- Reviewing all legal and financial documents
- Consulting with appropriate professionals (attorneys, accountants, inspectors)
- Verifying all information independently
7.4 Not Investment Advice
Nothing on the Service constitutes investment, legal, tax, or financial advice. You should consult with qualified professionals before making any investment decisions.
8. Intellectual Property
8.1 Platform Ownership
The Service, including all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio, video, software, and the design, selection, and arrangement thereof), is owned by REI.md or its licensors and is protected by copyright, trademark, and other intellectual property laws.
8.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial investment purposes.
8.3 Restrictions
You may not:
- Copy, modify, or create derivative works of the Service
- Reverse engineer or attempt to extract the source code
- Remove any copyright or proprietary notices
- Use our trademarks without prior written consent
9. Limitation of Liability
9.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REI.MD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
9.3 Cap on Liability
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO REI.MD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
9.4 Deal Outcomes
REI.MD IS NOT LIABLE FOR THE OUTCOME OF ANY REAL ESTATE TRANSACTION, INCLUDING ANY LOSSES, DAMAGES, OR FAILED DEALS. YOU ASSUME ALL RISK ASSOCIATED WITH YOUR INVESTMENT DECISIONS.
10. Indemnification
You agree to indemnify, defend, and hold harmless REI.md and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your User Submissions
- Any transaction or deal you enter into through the Service
11. Termination
11.1 Termination by You
You may terminate your account at any time by contacting us at support@rei.md. Upon termination, your right to use the Service will immediately cease.
11.2 Termination by Us
We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to:
- Violation of these Terms
- Fraudulent or illegal activity
- Conduct harmful to other users or the Service
- Extended periods of inactivity
11.3 Effect of Termination
Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7, 8, 9, 10, and 12.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
12.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the state or federal courts located in Miami-Dade County, Florida.
12.3 Waiver of Class Actions
YOU AND REI.MD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may provide additional notice, such as an email notification or a prominent notice within the Service.
Your continued use of the Service after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
